1. The Service

WatZap provides a Software-as-a-Service (SaaS) platform that enables Clients to connect their WhatsApp Business Account (WABA) to our dashboard. This allows Clients to manage customer communications, send messages, and use related tools provided by our platform.

2. Client Responsibilities & Compliance

This section is critical to your use of the Service. Failure to comply may result in immediate account termination.

2.1. Absolute Compliance with Meta & WhatsApp Policies

Your use of the Service is conditional upon full compliance with all Meta/WhatsApp policies, including:

• The WhatsApp Business Policy
• The Meta Commerce Policy
• The WhatsApp Business Terms of Service

WatZap is a technology provider; you are solely responsible for your message content and compliance with these policies. Any violation constitutes a direct breach of these Terms.

2.2. End-User "Opt-In" Mandate

You agree to send messages only to End-Users who have provided valid, verifiable consent ("opt-in") as required by WhatsApp policies and applicable law. You are responsible for obtaining and maintaining proof of consent.

2.3. Prohibited Use

You agree not to use the Service for any illegal, harmful, or spam-related activities, including:

• Sending messages in violation of WhatsApp or Meta policies.
• Transmitting fraudulent, defamatory, or harassing materials.
• Attempting to reverse-engineer or gain unauthorized access to the Service.

2.4. Account Security

You are responsible for maintaining the confidentiality of your credentials and all activities under your account.

3. Data Privacy and Roles

3.1. Your Role as Data Controller

You are the Data Controller of your End-Users' personal data (e.g., phone numbers, message content). You are responsible for ensuring legal grounds for processing and for handling End-User data requests.

3.2. Our Role as Data Processor

WatZap acts as a Data Processor and will only process End-User data according to your instructions and as described in our Privacy Policy.

4. Billing, Fees, and Termination

4.1. Fees

You agree to pay all applicable subscription fees. You acknowledge that Meta may charge "conversation fees" which may be billed through WatZap. All payments are non-refundable unless required by law.

4.2. Termination by You

You may cancel your subscription and terminate your account at any time.

4.3. Termination by WatZap

We may suspend or terminate your access without prior notice for reasons including:

• Violation of these Terms.
• Violation of Meta/WhatsApp policies.
• Non-payment of fees.
• Prolonged inactivity.

5. Disclaimers and Limitation of Liability

5.1. Service Reliance on Meta/WhatsApp

The Service depends on Meta’s WhatsApp Business Platform. We are not responsible for any interruptions, changes, or bans imposed by Meta.

5.2. "As Is" Service

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

5.3. Limitation of Liability

To the fullest extent permitted by law, WatZap and its affiliates are not liable for any indirect, incidental, special, or consequential damages, loss of profits, or data resulting from your use of the Service.

6. General Terms

6.1. Governing Law

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict of law principles.

6.2. Changes to Terms

We may modify these Terms at any time. Notice will be provided through email or our platform. Continued use of the Service indicates acceptance of the new Terms.
